Whapier

Terms Of Service

Last updated: 12 August 2026

1. Parties, scope, eligibility

These Terms of Service ("Terms") are a contract between ADDO VISION SOLUTIONS SRL — a Romanian company, VAT RO32203240, Trade Register J40/10973/2013, Bucharest, Romania, a Meta Partner ("Whapier", "we") — and the business on whose behalf an account is created ("Customer", "you"). By creating an account you confirm that you act for a business, that you are authorised to bind it, and that the business is established in the European Union. The Service is offered to businesses only; consumer-protection regimes for private individuals do not apply. If you do not accept these Terms, do not use the Service.

2. The Service

Whapier is software on top of the official WhatsApp Business Platform (Meta Cloud API): campaigns, a shared team inbox, automation and AI-assisted replies, message templates, contact management, per-message cost reporting, a REST API and webhooks. The catalogue of features and the limits of each plan are those published on the pricing page at the time of purchase.

Your use of WhatsApp itself is additionally governed by Meta's terms — including the WhatsApp Business Terms, the WhatsApp Business Messaging Policy and the Meta Commerce Policy — which you accept directly with Meta when connecting your WhatsApp Business Account. Meta decides independently about template approvals, quality ratings, messaging limits and account restrictions; those decisions are between you and Meta. We surface them in the product and help where we reasonably can, but we cannot overturn them.

3. Account and security

Registration data must be accurate and kept current. Credentials and API keys are confidential; everything done through your account or keys is attributed to you until you tell us the account is compromised. Team members you invite act under your organization and your responsibility; roles and permissions inside the product are your tool for limiting them. We recommend enabling two-factor authentication.

4. Fees and payment — two separate bills

4.1 The Whapier subscription. A flat fee per plan, published on the pricing page, billed in euros, monthly or yearly (the yearly price equals ten monthly fees — two months free). Prices exclude VAT. Payment is due in advance for each period.

4.2 VAT. Before any payment we require complete billing details and an EU VAT number verified against VIES. Invoices apply the correct treatment automatically: Romanian VAT for Romanian customers, reverse charge under Art. 196 of Council Directive 2006/112/EC for businesses in other member states. If VIES is temporarily unavailable, a saved VAT number is re-verified automatically at payment time.

4.3 Meta's message fees. WhatsApp message fees are charged by Meta directly to your own WhatsApp Business Account, at Meta's published rates, under your billing arrangement with Meta. This money never passes through Whapier and we add no markup to it. Cost figures shown in the Service (pre-flight estimates, the cost dashboard) are reporting for your benefit, not billing, and do not replace Meta's invoice.

4.4 Trial. The free trial requires no payment method, lasts the period published at signup, and ends automatically — nothing converts to a paid plan without your explicit purchase.

4.5 Renewal and cancellation. Subscriptions renew for the same period unless cancelled before the renewal date, from the billing section of the account. Cancellation stops future charges; the plan runs until the end of the period already paid. Except where the law requires otherwise, fees already paid are not refunded.

4.6 Price changes. We may change prices with at least 30 days' notice by email; changes apply from your next renewal, never retroactively.

4.7 Non-payment. If a renewal cannot be collected, sending is suspended; inbound messages continue to arrive so your customers never write into a void. Service resumes on payment.

5. Your content and your obligations

5.1 Your content stays yours. Contacts, conversations, templates and media you bring into the Service remain your property. You grant us only the technical licence needed to operate the Service on them (store, transmit, display, back up).

5.2 Lawful use. You warrant that you are entitled to process the data you import, and that your messaging complies with the law of the countries you message into and with the Acceptable Use Policy, which is part of these Terms. Its core: verifiable opt-in before marketing messages, honoured opt-outs, no prohibited content, no spam.

5.3 Data processing. For your customers' personal data we act as your processor under the Data Processing Agreement, which is incorporated into these Terms.

5.4 Backups of your own. The export functions exist so you can keep your own copies of contacts and results; we encourage using them.

6. Availability, support, changes

We operate the Service with reasonable skill and care and aim for continuous availability, without promising it absolutely: WhatsApp itself, infrastructure providers and scheduled maintenance are constraints on any platform. Planned maintenance affecting sending is announced in advance where practicable. Support is provided through the ticket system in the account and at office@addovision.ro, in English and Romanian, on business days. We may evolve features continuously; we will not materially reduce the substance of a plan you have already paid for during that paid period.

7. Intellectual property

The Service, its software, design and documentation are and remain the property of ADDO VISION SOLUTIONS SRL or its licensors. You receive a non-exclusive, non-transferable right to use the Service for your own business during the subscription. You may not copy, resell, sublicense, or reverse-engineer the Service except where mandatory law permits. "WhatsApp" and "Meta" are trademarks of Meta Platforms, Inc.; Whapier is an independent product and is not endorsed by Meta.

8. Warranties and liability

8.1 The Service is provided as described, without warranties beyond those these Terms state; in particular we do not warrant specific delivery rates, template approvals, or any outcome that sits in Meta's discretion.

8.2 To the extent permitted between businesses: we are liable without limit for intent, gross negligence, and harm to life, body or health; for ordinary negligence we are liable only for breach of essential contractual duties, and then up to the foreseeable damage typical for this kind of contract. In every case other than intent, our total aggregate liability for any twelve-month period is capped at the subscription fees you paid for that period.

8.3 We are not liable for indirect or consequential damage, lost profits or lost data where you failed to use the export functions, nor for the consequences of decisions taken by Meta about your WhatsApp Business Account, nor for damage caused by your breach of the Acceptable Use Policy.

8.4 You indemnify us against third-party claims arising from content you send or from your breach of section 5, including reasonable defence costs.

8.5 Neither party is liable for failure caused by events beyond its reasonable control (force majeure); obligations are suspended for the duration of the event.

9. Term and termination

The contract runs for the subscription period and renews per section 4.5. You may terminate at any time by cancelling and closing the account. We may terminate or suspend, with notice where practicable and immediately where necessary, if you materially breach these Terms — above all the Acceptable Use Policy — or where Meta permanently withdraws the platform capability your use depends on. After closure, data is handled as the Privacy Policy, section 5, describes; you can export your data before closure at any time.

10. Changes to these Terms, governing law, final clauses

We may amend these Terms with at least 14 days' notice by email and on this page; if you do not accept an amendment you may terminate before it takes effect, and continued use afterwards is acceptance. Romanian law governs, excluding its conflict-of-law rules; the courts of Bucharest have exclusive jurisdiction. If a provision is invalid, the remainder stands, and the invalid provision is replaced by the valid rule closest to its purpose. These Terms, the pricing page, the Acceptable Use Policy, the Data Processing Agreement and the Privacy Policy together form the entire agreement.
